1. Acceptance of These Terms

These Terms of Service (the Terms) are a legal agreement between you and GoldnBear Inc., doing business as GoldnBear Security (referred to as GoldnBear, we, us or our), governing your access to and use of https://goldnbearsecurity.com and any pages, content, forms and features we make available on it (together, the Site). By accessing or using the Site you agree to be bound by these Terms and by our Privacy Policy, Cookie Policy and Accessibility Statement, which are incorporated by reference. If you do not agree, you must not use the Site.

You represent that you are at least 18 years old, or that you are using the Site under the supervision of a parent or guardian, and that you have the authority to accept these Terms on behalf of any business or organization you represent. We may update these Terms as described in Section 15. These Terms were last updated on September 24, 2026.

2. The Site Is Informational

The Site describes the security services that GoldnBear offers in Southern California and provides general information about security practices, the industries we serve and the areas we cover. Content on the Site is provided for general informational and marketing purposes only. It is not professional security advice, legal advice or a risk assessment for your specific property, event or situation, and it does not create a client relationship between you and GoldnBear.

Every property and situation is different. Before relying on any general statement on the Site, contact us to arrange a consultation or site assessment so that we can evaluate your actual needs. We work to keep the Site accurate and current, but we do not promise that all information is complete, accurate or up to date at any given moment, and we may change, suspend or remove content or features at any time without notice.

3. Security Services and Service Agreements

GoldnBear provides security guard, patrol, event security, executive protection and related services as a Private Patrol Operator licensed by the California Bureau of Security and Investigative Services (BSIS) under the California Business and Professions Code and Title 16 of the California Code of Regulations. Our license number is displayed on the Site. All security services are provided only under a separate written service agreement signed by GoldnBear and the client. That agreement, not these Terms, governs the scope of services, post orders, staffing, pricing, insurance, term, termination and each party's responsibilities and liabilities.

Nothing on the Site constitutes an offer to provide services, and no services are engaged, scheduled or confirmed until a written service agreement has been fully executed and any required deposit or credit approval has been completed. Our security officers are registered with BSIS as required by law, and armed officers hold the firearm permits required by California law. Descriptions of our services on the Site are general and may not describe the exact services that are available at a particular location, time or price.

4. No Guarantee of Safety or Specific Outcomes

Security services reduce risk. They cannot eliminate it. The presence of security personnel, patrols, cameras or other measures does not guarantee that crime, injury, property damage, loss or other incidents will not occur, and GoldnBear does not promise any particular result, level of deterrence or response time on the Site. Statements on the Site about preventing incidents, reducing losses or improving safety describe our approach and goals and are not warranties or guarantees.

Any specific performance standards, response commitments or service levels that we agree to will be set out in the written service agreement for your account. You remain responsible for maintaining your own insurance, complying with applicable laws and building codes, and taking reasonable precautions for the safety of your property, employees, tenants and guests.

5. Quotes and Estimates

Any pricing, rate, hour or coverage information that we provide through the Site, in response to a contact or quote form, by email or by telephone is an estimate only. Estimates are based on the information you give us and on general assumptions about the assignment. Final pricing depends on many factors, including the location, schedule, number and type of officers, whether officers are armed, required training or certifications, equipment, prevailing wage or union requirements, and the length of the engagement, and is set only in a signed service agreement.

Estimates are valid for 30 days unless we state otherwise in writing and may be withdrawn or revised at any time before a service agreement is signed. Typographical or clerical errors in any quote, estimate or Site content are subject to correction, and we are not bound by an obviously mistaken price.

6. Emergency Notice

If you are in immediate danger, call 911. The website and contact form are not monitored for emergencies.

Messages sent through the contact form, by email or through social media are reviewed during business hours and may not be seen immediately. Do not use the Site to report a crime in progress, a medical emergency, a fire or any other situation that requires immediate help. If you are an existing client with an urgent operational issue, use the dispatch or supervisor telephone number provided in your service agreement rather than the Site. Nothing on the Site creates an obligation on GoldnBear to respond to or act on any message within a particular time.

7. User Conduct

You agree to use the Site only for lawful purposes and in accordance with these Terms. You must not:

• Submit false, misleading or fraudulent information through the contact or quote form, or impersonate any person or organization.
• Use the Site to harass, threaten, defame or harm any person, or to transmit content that is unlawful, obscene or infringes the rights of others.
• Attempt to gain unauthorized access to the Site, its servers or any connected systems, or probe, scan or test the vulnerability of the Site without our written permission.
• Introduce viruses, malware or other harmful code, or interfere with the proper working of the Site.
• Use automated means such as bots, scrapers or crawlers to access or collect information from the Site, other than search engines complying with our robots.txt file.
• Copy, frame, mirror or republish any part of the Site without our written permission.
• Use the Site or any information obtained from it to send unsolicited commercial communications or to compete unfairly with GoldnBear.

8. Intellectual Property

The Site and all of its content, including text, graphics, photographs, video, page layouts, logos, icons, the GoldnBear name and bear design marks, and the software that operates the Site, are owned by GoldnBear Inc. or its licensors and are protected by United States and international copyright, trademark and other intellectual property laws. All rights not expressly granted in these Terms are reserved.

We grant you a limited, revocable, non-exclusive, non-transferable license to view the Site and to print or download individual pages for your personal, non-commercial use or for the purpose of evaluating our services for your business. You may not modify, reproduce, distribute, publicly display, create derivative works from or commercially exploit any content from the Site without our prior written consent. The GoldnBear name, logo and tagline may not be used in connection with any product or service that is not ours, or in any manner that is likely to cause confusion or that disparages GoldnBear.

If you send us feedback, suggestions or ideas about the Site or our services, you grant us a perpetual, royalty-free license to use them without any obligation to you. If you believe that content on the Site infringes your copyright, please send a notice containing the information required by the Digital Millennium Copyright Act to ceo@goldnbearsecurity.com or to GoldnBear Inc., Attention: Copyright, 811 W 7th St, Los Angeles, CA 90017, and we will respond promptly.

9. Testimonials, Reviews and Client Logos

Testimonials and reviews displayed on the Site reflect the individual experiences and opinions of the clients who provided them. They are not intended to represent or guarantee that every client will have the same experience, and results vary depending on the property, the assignment and many other factors. Testimonials may be lightly edited for length or clarity without changing their meaning, and some may be displayed with the client's first name, initials or role only for privacy reasons. We do not pay for testimonials.

Client names and logos shown on the Site are trademarks of their respective owners and are used solely to identify organizations that are or have been clients of GoldnBear. Their display does not imply that the owner endorses GoldnBear or the Site, or that any particular client relationship is ongoing. If you are the owner of a logo shown on the Site and would like it removed or updated, contact us at ceo@goldnbearsecurity.com.

10. Third-Party Links and Content

The Site may contain links to third-party websites, maps, review platforms, social media pages and other resources that we do not own or control. We provide these links for convenience only. We do not review, endorse or take responsibility for the content, accuracy, privacy practices or availability of any third-party site, and a link does not imply any affiliation with or sponsorship by the third party. Your use of third-party sites is at your own risk and subject to their terms and policies.

Any dealings you have with third parties found through the Site, including payment for and delivery of goods or services, are solely between you and that third party. GoldnBear is not responsible for any loss or damage arising from those dealings.

11. Disclaimers

THE SITE AND ALL CONTENT, MATERIALS AND SERVICES MADE AVAILABLE THROUGH IT ARE PROVIDED ON AN AS IS AND AS AVAILABLE BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, GOLDNBEAR DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that the Site will be uninterrupted, timely, secure or error-free, that defects will be corrected, that the Site or the servers that make it available are free of viruses or other harmful components, or that the content is accurate, complete or current. Any material downloaded or otherwise obtained through the Site is obtained at your own discretion and risk. No advice or information, whether oral or written, obtained from GoldnBear or through the Site creates any warranty not expressly stated in these Terms. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

The disclaimers in this section apply to the Site. Warranties, if any, that apply to security services are stated exclusively in the written service agreement for those services.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY CALIFORNIA LAW, GOLDNBEAR INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SITE OR ITS CONTENT, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED UNITED STATES DOLLARS (US $100). This limitation applies to the Site only. Liability relating to security services is governed exclusively by the written service agreement for those services.

Nothing in these Terms limits or excludes liability for gross negligence, willful misconduct, fraud, death or personal injury caused by negligence, or any other liability that cannot be limited or excluded under applicable law. Some jurisdictions, including California in certain consumer transactions, do not allow the limitation or exclusion of certain damages, so some of the limitations above may not apply to you. In those cases our liability will be limited to the fullest extent permitted by law. The limitations in this section are an essential part of the agreement between you and GoldnBear, and the Site would not be provided without them.

13. Indemnification

You agree to defend, indemnify and hold harmless GoldnBear Inc. and its officers, directors, employees, agents and contractors from and against all claims, liabilities, damages, judgments, awards, losses, costs and expenses, including reasonable attorneys' fees, arising out of or relating to your violation of these Terms, your misuse of the Site, any content or information you submit through the Site, or your violation of any law or the rights of a third party. We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, at your expense, and you agree to cooperate with our defense. This section does not apply to the extent a claim is caused by our own gross negligence or willful misconduct.

14. Governing Law, Venue and Dispute Resolution

These Terms and any dispute arising out of or relating to them or the Site are governed by the laws of the State of California and applicable federal law, without regard to conflict-of-law principles. Subject to the informal resolution process below, you and GoldnBear agree that any legal action relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Los Angeles County, California, and each party consents to the personal jurisdiction of those courts. Nothing in this section prevents either party from seeking injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property or confidential information, or prevents you from bringing a qualifying claim in small claims court.
